Determination of acquisition costs of Orion Corp. and Oriola-KD Corp. shares for Finnish taxation

According to the confirmation (Nr 1092/39/2006) on 11 July 2006 by the Finnish National Board of Taxes, the principle to be applied for the determination of the acquisition costs of the class A and B shares in Orion Corporation and Oriola-KD Corporation shall be the proportion of the fair values of the shares based on the weighted average stock prices of the shares during the first trading day.
 
The two companies were listed on 3 July 2006 as new companies on the Helsinki Stock Exchange following the demerger of former Orion Corporation. The share acquisition cost is used for the calculation of capital gains and/or losses from share transactions for the basis of Finnish taxation.The acquisition cost of the class A share of new Orion Corporation is 87.24% of the original acquisition cost of the demerged Orion Corporation's class A share. Respectively the acquisition cost of the class A share of new Oriola-KD Corporation is 12.76% of the original acquisition cost of the demerged Orion Corporation's class A share.
 
The acquisition cost of the class B share of new Orion Corporation is 87.70% of the original acquisition cost of the demerged Orion Corporation's class B share. Respectively the acquisition cost of the class B share of new Oriola-KD Corporation is 12.30% of the original acquisition cost of the demerged Orion Corporation's class B share.
