The Prospectus concerning the planned demerger of Orion Corporation will be published today,
12 December 2005. The Demerger Plan signed by the Board of Directors was already published on
8 November 2005, and an Extraordinary General Meeting of the shareholders of Orion Corporation will decide on the matter on 19 December 2005.

The Prospectus contains some information that has not been disclosed previously. In this stock exchange release the company separately publishes the most essential data which, according to the management's judgement, is of material value in the way meant in the Finnish Securities Market Act. Shareholders and investors are, however, advised to acquaint themselves with the entire Prospectus.
The following data provided in the Demerger Prospectus are included in this release:
- combined carve-out financial statement information extracted from the financial statements of the demerging Orion for the New Orion and Oriola-KD Groups to be established in the demerger
- some extracted key figures for the New Orion and Oriola-KD Groups
- accounting principles applied in the preparation of the extracted financial statement information.
In addition to the above, the Demerger Prospectus includes the company and business descriptions of the present Orion and the two new Groups resulting from the demerger.
